Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Bracket Real Estate’s applications, websites, and services, including Bracket One and Bracket Marketplace (the “Services”). By using the Services, you agree to these Terms.

1. Accounts & Eligibility

• You must be at least 18 and able to form a binding contract.
• Provide accurate registration information and keep your credentials confidential. You are responsible for activity under your account.
• If you connect Microsoft or Google, you authorize us to act on your behalf within the specific scopes you grant (e.g., send email, create calendar events). You can disconnect at any time.

2. Acceptable Use

• No unlawful, infringing, deceptive, or abusive activity.
• No reverse engineering, scraping at scale, or interference with the Services.
• No uploading harmful code or violating privacy/intellectual-property rights.
• Use communication features (email, invites, messaging) responsibly and in compliance with anti-spam and consent laws.

3. Listings, Offers & Transactions

• You are responsible for the accuracy and legality of information you submit (property details, documents, offers/bids).
• Unless expressly stated, the Services are not a legal, tax, or financial advisor. Documents and outputs are for convenience only and may require independent professional review.
• Transactions between users occur directly between the parties; Bracket is not a broker of record unless explicitly contracted.

4. Fees

We may charge fees for certain features (e.g., marketplace platform fees). Any applicable fees will be disclosed before you incur them and are non-refundable unless required by law or our posted terms for that feature.

5. Intellectual Property

• The Services, including software, branding, and content provided by Bracket, are owned by Bracket and its licensors and protected by law.
• You retain ownership of content you upload; you grant Bracket a non-exclusive, worldwide, royalty-free license to host, process, display, and distribute such content solely to provide the Services.

6. Third-Party Services

The Services may integrate with third parties (e.g., Microsoft 365, Google Workspace, Zoom, Google Meet, analytics). Your use of those services is subject to their terms; Bracket is not responsible for third-party sites or services.

7. Confidentiality

We will use reasonable measures to protect confidential information you designate and to use it only for providing the Services. Do not upload materials you are not authorized to share.

8. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. BRACKET DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not guarantee uninterrupted or error-free operation or that outputs are accurate, complete, or suitable for your purpose.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BRACKET WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. Our aggregate liability arising out of or relating to the Services will not exceed the amounts you paid to Bracket for the Services in the 12 months preceding the claim (or $100 if none).

10. Termination

You may stop using the Services at any time. We may suspend or terminate access if you violate these Terms or for security, legal, or operational reasons. Provisions that by their nature should survive (e.g., IP, disclaimers, limitations, and indemnities) will survive termination.

11. Indemnification

You will defend, indemnify, and hold harmless Bracket from claims arising out of your content, your use of the Services, or your violation of these Terms or applicable law.

12. Changes to the Services or Terms

We may modify the Services and these Terms. If we make material changes, we will provide notice (e.g., in-app or email). Continued use after changes become effective constitutes acceptance.

13. Governing Law; Dispute Resolution

These Terms are governed by the laws of the State of Virginia, without regard to conflicts of law. Any dispute will be resolved in the state or federal courts located in Richmond, VA, and you consent to their jurisdiction and venue.
